Welcome to MAGs Studios ("MAGs", "Platform", "we", "our", "us"). MAGs Studios is a platform that enables users to discover, book, and utilize creative studio spaces, as well as connect with brands and creators for content collaboration opportunities. By accessing or using our website, mobile platform, or services, you agree to comply with and be bound by these Terms & Conditions. If you do not agree, you must not use the platform.

1. Introduction

MAGs Studios acts as an intermediary platform connecting Users ("Customers") with Studio Partners and creative professionals. These Terms govern your use of the Platform and any related services, including bookings, payments, and content collaborations.

By registering or using our services, you enter into a legally binding agreement with MAGs Studios. Please read these Terms carefully before using the Platform.

2. Definitions

• Platform: MAGs Studios website, mobile application, and any associated services.
• User / Customer: Any individual or entity that accesses or books services through the Platform.
• Studio Partner: Third-party studio owner, manager, or operator listed on MAGs.
• Booking: Reservation of a studio slot, equipment, or creative service via the Platform.
• Services: Studio bookings, creator marketplace access, production assistance, and related offerings.
• Order Value: The total price displayed for a specific Booking, exclusive of taxes or convenience fees.
• Convenience Fee: A fee charged by MAGs for facilitating the Booking via our technology platform.

3. Platform Nature & Role

MAGs Studios is an aggregator and facilitator. We connect Users with Studio Partners but do not own, control, or operate most listed studios. Studio execution, infrastructure, service delivery, and on-ground management are the sole responsibility of the Studio Partner.

Any issues arising during your studio session must be raised directly with the Studio Partner. MAGs will assist in communication but accepts no liability for the Partner's actions or omissions.

4. Eligibility

• You must be at least 18 years old to use the Platform or book any Service.
• By using MAGs, you confirm that you have the legal capacity to enter into a binding contract under applicable laws.
• If you are accessing the Platform on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

5. Account Registration

To access certain features (e.g., booking studios, posting collaboration requests), you must create an account. You agree to provide accurate, complete, and current information during registration and to update it as needed.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. MAGs reserves the right to suspend or terminate accounts that:

• Provide false or misleading information;
• Engage in fraudulent, abusive, or illegal activity;
• Violate these Terms or any applicable laws.

6. Booking & Payments

6.1 Booking Process

All bookings are subject to availability. A booking is confirmed only after successful payment and receipt of a confirmation email/SMS from MAGs.

6.2 Pricing

Prices vary based on studio type, duration, equipment, peak hours, and other factors. The final price (Order Value) is displayed before checkout.

6.3 Payment Terms

• Full payment is required at the time of booking unless otherwise stated.
• Payments are processed via third‑party gateways. MAGs is not responsible for gateway errors, bank declines, or unauthorized transactions beyond our control.
• A Convenience Fee may be added to each booking. All applicable taxes are borne by the User.

7. Booking Confirmation

A booking is considered confirmed only when:

• Full payment (including Convenience Fee) is successfully processed, and
• You receive a confirmation from MAGs via email or SMS.

If you do not receive a confirmation within 15 minutes, please contact us immediately. MAGs does not guarantee availability for unconfirmed bookings.

8. Studio Usage & Conduct

By using a studio booked through MAGs, you agree to:

• Use the space only for lawful purposes and in compliance with all applicable laws.
• Adhere to the booked time slot, including setup and teardown.
• Respect all studio rules provided by the Studio Partner (e.g., no smoking, noise limits, equipment handling).

Prohibited Activities

• Creating or promoting illegal content (hate speech, violence, copyright infringement).
• Damaging or misusing equipment, furniture, or property.
• Causing disturbance to other users, neighbours, or staff.
• Bringing unauthorised guests or animals (unless permitted).

8.1 Damage & Liability

You are fully liable for any damage you cause to the studio or its equipment. You agree to pay the Studio Partner or MAGs (on their behalf) the full cost of repair or replacement, plus any loss of business due to downtime.

9. Cancellations & Rescheduling

9.1 User-Initiated Cancellation

Cancellation policies vary per studio. The specific policy (e.g., free cancellation up to 24 hours before, partial refund, or no refund) is displayed at the time of booking. You are bound by that policy.

9.2 No-Show

9.3 Platform / Partner Cancellation

In rare cases (e.g., studio emergency, double‑booking, safety issue), the Studio Partner or MAGs may need to cancel. You will be offered either:

• Rescheduling to an equivalent time slot within 14 days, or
• Full refund to your original payment method, or
• Platform credits equal to 110% of the Order Value (valid for 6 months).

10. Platform Credits

• Credits are issued at MAGs' discretion, typically in lieu of refunds for late cancellations or as goodwill.
• Credits are valid for 6 months from the date of issue and expire thereafter.
• Credits are non‑transferable, cannot be exchanged for cash, and may only be used for future bookings on MAGs.

11. Creator Marketplace (If Applicable)

MAGs may offer a marketplace where brands and creators can discover collaboration opportunities. MAGs provides the platform but does not guarantee:

• That a brand will select a creator for a campaign, or vice versa.
• The quality, legality, or completion of any collaboration.
• Payment between parties – any fee disputes are solely between the brand and creator.

MAGs is not a party to any brand‑creator agreement and assumes no liability for disputes, non‑payment, or unsatisfactory work.

12. Intellectual Property

• All platform content (text, graphics, logos, software, etc.) is owned by MAGs or its licensors and is protected by copyright and trademark laws.
• Users retain ownership of any content they upload (e.g., portfolio images, project briefs).
• By uploading content, you grant MAGs a non‑exclusive, royalty‑free, worldwide license to use, display, and promote that content for marketing and operational purposes (e.g., featuring your work in our gallery). You may revoke this license by deleting the content or closing your account.

13. Limitation of Liability

To the maximum extent permitted by law, MAGs Studios and its affiliates shall not be liable for:

• Personal injury, death, or property damage occurring at a studio location.
• Equipment failure, technical issues, or loss of creative work.
• Theft or loss of personal belongings at any venue.
• Actions or omissions of Studio Partners, creators, brands, or any third party.
• Indirect, incidental, or consequential damages, even if advised of the possibility.

In any event, MAGs' total liability to you for all claims arising from these Terms shall not exceed the total fees you paid to MAGs in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless MAGs Studios, its directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms or applicable laws.
• Your misuse of the Platform or any studio.
• Damage you cause to third parties or property.
• Your content infringing someone else's rights.

15. Termination

MAGs may suspend or terminate your account and cancel any pending bookings if:

• You violate any provision of these Terms.
• You engage in fraudulent, abusive, or illegal conduct.
• We receive a valid complaint from a Studio Partner or other user.

Termination does not relieve you of any payment obligations incurred prior to termination. You may also delete your account at any time via account settings.

16. Force Majeure

MAGs is not liable for delays or failures to perform its obligations when caused by events beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or extreme weather.
• Government orders, lockdowns, or curfews.
• Internet outages, cyberattacks, or third‑party service failures.

In such events, we will work to reschedule or credit affected bookings, but refunds may not be possible.

• MAGs may update these Terms at any time without prior individual notice.
• The latest version will always be posted on this page with an updated "Last Updated" date.
• Your continued use of the Platform after changes constitutes acceptance of the revised Terms.
